Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the SME Pilot platform, website, and related services (collectively, the “Service”) provided by SME Pilot (“we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms. If you do not agree to these Terms, you must not use the Service.
2. Definitions
“Account” means the account you create to access the Service. “Client Data” means any data, information, or material you submit or upload to the Service. “Subscription” means the paid plan you select for access to the Service. “User” means any individual authorised by you to use the Service under your Account.
3. Account registration
To use the Service, you must create an Account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorised use of your Account.
You must be at least 18 years of age to create an Account. By creating an Account, you represent that you meet this requirement.
4. Subscription and payment
Access to the Service requires a paid Subscription. Fees are as set out on our pricing page at the time of purchase. All fees are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.
Subscriptions are billed monthly or annually, depending on the plan selected. Payment is due in advance at the start of each billing period. We use third-party payment processors to handle transactions and do not store your full payment card details on our systems.
We may change our fees at any time by giving you at least 30 days' written notice. If you do not agree to the new fees, you may cancel your Subscription before the new fees take effect.
5. Free trial
We may offer a free trial period for certain Subscription plans. At the end of the trial period, your Subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before any charges are applied.
6. Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service or its related systems.
- Use the Service to transmit any malicious code, viruses, or harmful content.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to process data in breach of data protection legislation, including the UK GDPR and the Data Protection Act 2018.
- Resell, sublicense, or make the Service available to any third party without our prior written consent.
7. Client Data
You retain all rights in your Client Data. By uploading Client Data to the Service, you grant us a limited licence to process, store, and transmit that data solely for the purpose of providing the Service to you.
You are responsible for ensuring that you have all necessary rights and consents to upload Client Data to the Service. You must not upload data that infringes any third party's intellectual property rights or that you are not lawfully entitled to process.
We implement appropriate technical and organisational measures to protect Client Data in accordance with our obligations under applicable data protection legislation. For further details, please refer to our Privacy Policy.
8. Intellectual property
The Service, including all software, documentation, designs, and content (excluding Client Data), is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
9. Service availability and support
We aim to provide the Service with reasonable availability but do not guarantee uninterrupted or error-free operation. We may suspend the Service temporarily for maintenance, upgrades, or other operational reasons. We will endeavour to give reasonable notice of planned downtime.
Support is provided in accordance with the terms of your Subscription plan. Details of support levels are set out on our pricing page.
10. Limitation of liability
To the fullest extent permitted by law, our total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, whether or not we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless SME Pilot, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable law or the rights of any third party.
12. Termination
You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.
Following termination, we will retain your Client Data for a period of 30 days, during which you may request an export. After this period, we will delete your Client Data in accordance with our data retention policy.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
14. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
